Alfasigma expands specialty care portfolio with Nordic Group acquisition

The transaction will be completed through a share purchase agreement with SEVER Life Sciences, under which Alfasigma will acquire 100% of Nordic Group and its subsidiaries.

ITALY—Italian pharmaceutical company Alfasigma has agreed to acquire Nordic Group in a strategic move that will strengthen its specialty care business and broaden its international footprint across Europe, Canada, and Japan.

The acquisition forms part of the company’s long-term strategy to expand its presence in specialty and rare diseases while enhancing its portfolio in key therapeutic areas.

The transaction will be completed through a share purchase agreement with SEVER Life Sciences, under which Alfasigma will acquire 100% of Nordic Group and its subsidiaries.

Although the companies have not disclosed the financial terms of the deal, the acquisition remains subject to customary closing conditions, including regulatory approvals.

Expanded rheumatology and specialty care portfolio

A key benefit of the acquisition is the addition of Nordic Pharma’s rheumatoid arthritis business to Alfasigma’s growing immunology portfolio.

The deal includes the Nordimet methotrexate franchise, a well-established treatment used in managing rheumatoid arthritis.

The acquisition will complement Alfasigma’s existing rheumatology offering, which includes Jyseleca, a therapy approved as a second-line treatment for inflammatory and autoimmune conditions such as rheumatoid arthritis and ulcerative colitis.

Alfasigma currently markets Jyseleca across the European Union, the European Economic Area, and the United Kingdom.

Beyond rheumatology, the agreement also adds Nordic Pharma’s portfolio in women’s health, critical care, and ophthalmology.

These products will broaden Alfasigma’s range of specialty medicines and strengthen its position in several therapeutic segments.

Broader international reach and workforce growth

The acquisition will significantly expand Alfasigma’s commercial operations.

Once the transaction is completed, the company will have a direct presence in 18 European countries while extending its commercial activities into Canada and Japan.

In addition, approximately 265 Nordic Pharma employees will join Alfasigma, bringing new expertise and strengthening the company’s scientific and commercial capabilities as it continues its international expansion.

Executives highlight strategic value

Alfasigma Chief Executive Officer Francesco Balestrieri said the company is pursuing a focused strategy to identify opportunities that support the growth of its global specialty and rare disease business, particularly in gastroenterology and immunology.

He described the acquisition of Nordic Pharma as an important milestone that strengthens Alfasigma’s European presence while expanding its rheumatology portfolio.

He added that combining the two companies’ product portfolios, scientific expertise, and skilled teams will enhance their ability to deliver innovative treatments and create greater value for both patients and shareholders.

Nordic Group Chief Executive Officer Charlotte Phelps said Alfasigma is well positioned to support Nordic Pharma’s next phase of growth.

She noted that both companies share a strong commitment to science, innovation, entrepreneurship, and patient care, adding that the combined organization will be better equipped to meet patients’ needs through its expanded capabilities.

Building a global specialty pharmaceutical business

Headquartered in Italy, Alfasigma is a privately owned pharmaceutical company with operations spanning more than 100 markets worldwide.

The company employs approximately 4,000 people and continues to invest in expanding its specialty care portfolio through strategic acquisitions and partnerships.

The acquisition of Nordic Group represents another step in its efforts to strengthen its international presence and diversify its offerings across multiple therapeutic areas.
