Argonaut Manufacturing Services sells LSDx Division to 1315 Capital

Following the transaction, the LSDx business will operate independently under the name Aluris Sciences.

USA—Argonaut Manufacturing Services has completed the sale of its Life Sciences and Diagnostics (LSDx) division to 1315 Capital, a Philadelphia-based private equity firm focused on healthcare investments.

Following the transaction, the LSDx business will operate independently under the name Aluris Sciences.

1315 Capital will support the company’s continued growth and invest in expanding its capabilities.

The transaction covers only Argonaut’s LSDx division. Telegraph Hill Partners, New Vale Capital, and Argonaut Management will retain ownership of the company’s core business, which provides contract development and manufacturing services for high-value injectable biologics and pharmaceuticals, with a focus on aseptic fill finish.

Separate Operations Support Smooth Transition

Rick Hancock, Chief Executive Officer of Argonaut Manufacturing Services, described the transaction as an important strategic milestone for both Argonaut and Aluris Sciences.

According to Hancock, the two businesses had already been operating with largely separate teams and resources. As a result, the ownership transition can take place without disrupting existing customer programmes.

He said Argonaut will reinvest proceeds from the sale into its core operations, including the expansion of its fill finish capacity and services.

The investment is expected to strengthen the company’s ability to support customers developing and manufacturing injectable pharmaceutical products.

Meanwhile, Stacy Sutton, Chief Operating Officer of Aluris Sciences, said the acquisition represents an important step for the business, its employees and its customers.

Sutton said the new ownership structure would provide Aluris Sciences with additional resources to expand its capabilities while maintaining the standards and customer relationships established under Argonaut.

As Aluris Sciences, the business will continue to focus on customer service, quality, responsiveness and technical expertise.

The company will also have greater resources to support customers as they advance their life sciences and diagnostics programmes.

Drug Product Programmes Remain Unchanged

Argonaut said the transaction will not affect its existing drug product programmes. Customer timelines, quality commitments, and contractual obligations will remain unchanged.

Customers will continue working with the same teams at Argonaut’s existing facilities in Carlsbad, California. The company will also maintain its current quality systems and customer points of contact.

In addition, the transaction did not include any drug product programmes, assets, or regulatory filings. Registered site information will therefore remain unchanged.

Argonaut also confirmed that customers will not need to take any action or implement change controls as a result of the transaction. No assignment or novation of drug product agreements was required.

The separation allows Argonaut and Aluris Sciences to pursue their respective growth strategies while maintaining continuity for customers during the transition.

KPMG Corporate Finance LLC served as Argonaut Manufacturing Services’ exclusive financial advisor on the transaction.

The sale establishes Aluris Sciences as an independent business owned by 1315 Capital, while Argonaut retains its focus on aseptic fill finish and contract manufacturing services for injectable biologics and pharmaceuticals.
