USA—Roche has signed a definitive agreement to acquire US-based PathAI in a transaction valued at up to US$1.05 billion, with Roche paying US$750 million upfront and additional milestone payments potentially reaching US$300 million.
The agreement remains subject to customary closing conditions, including antitrust review and regulatory approvals, and is expected to close in the second half of the year.
Strengthening a strategic partnership

Roche Diagnostics CEO Matt Sause stated that digital pathology holds significant potential to enhance precision cancer diagnosis and support more personalized treatment approaches.
He added that integrating PathAI into Roche Diagnostics will combine advanced digital pathology capabilities with Roche’s oncology diagnostics portfolio to deliver deeper clinical insights and improve patient outcomes.
PathAI co-founder and CEO Andy Beck noted that joining Roche marks a major milestone for the company, enabling it to scale its AI-powered pathology solutions more rapidly and extend their impact across global healthcare systems.
