Vertex to acquire Crinetics in US$10B deal to expand rare endocrinology portfolio

Under the definitive agreement, which both companies’ boards unanimously approved, Vertex will pay US$85.00 in cash for each outstanding Crinetics share.

USA—Vertex Pharmaceuticals has agreed to acquire Crinetics Pharmaceuticals in a deal valued at approximately US$10 billion, or US$8.8 billion after accounting for the estimated cash acquired.

The transaction marks Vertex’s largest acquisition to date and significantly expands its presence beyond its traditional focus on rare genetic diseases into endocrinology.

Under the definitive agreement, which both companies’ boards unanimously approved, Vertex will pay US$85.00 in cash for each outstanding Crinetics share.

The offer represents a premium of more than 100% over Crinetics’ closing share price before the announcement.

The acquisition is expected to close during the third quarter of 2026, subject to regulatory approvals and approval by Crinetics shareholders.

Strengthening the endocrinology pipeline

The acquisition brings two key endocrinology assets into Vertex’s portfolio.

The first is Palsonify (paltusotine), the first and only once-daily oral treatment approved for adults with acromegaly.

The therapy received approval from the US Food and Drug Administration (FDA) in September 2025, followed by approval from the European Medicines Agency (EMA) in April 2026.

Acromegaly is a rare hormonal disorder that usually develops when a pituitary tumour produces excessive amounts of growth hormone.

Since its commercial launch, Palsonify has shown encouraging early uptake, supported by growing physician adoption and expanding reimbursement coverage.

The second major asset is atumelnant, a once-daily oral adrenocorticotropic hormone receptor antagonist currently in Phase III clinical development for congenital adrenal hyperplasia (CAH).

CAH is a rare inherited condition that disrupts cortisol production while causing excessive androgen levels.

Vertex also believes the therapy has potential in treating Cushing’s syndrome.

Vertex expects Palsonify and atumelnant to generate combined annual peak sales exceeding US$5 billion if development and commercialization proceed successfully.

Supporting long-term growth

Vertex plans to finance the acquisition through a combination of existing cash reserves and debt.

The company has secured a fully committed US$4.5 billion bridge financing facility from Bank of America and Morgan Stanley Senior Funding.

Vertex President and CEO Reshma Kewalramani said Crinetics fits well with the company’s strategy of developing treatments for serious diseases with significant unmet medical needs.

She noted that atumelnant could transform care for people living with CAH by helping control excess adrenal hormones while reducing dependence on high-dose steroids.

The acquisition also establishes endocrinology as Vertex’s fifth therapeutic area, alongside cystic fibrosis, pain, kidney disease and blood disorders.

Analysts believe the deal will strengthen the company’s long-term growth strategy by broadening its rare disease portfolio.

Separately, Vertex continued expanding its technology partnerships earlier this year when Halozyme Therapeutics’ subsidiary, Halozyme Hypercon, entered into a global exclusive licensing agreement with the company for its Hypercon drug delivery technology.
