Remgro consolidates private healthcare portfolio with US$947M Mediclinic Southern Africa buyout

Under the new arrangement, Remgro now owns 100% of Mediclinic’s Southern African operations through Mediclinic International, while IHL has taken full ownership of the Swiss-based Hirslanden Group.

SOUTH AFRICA—Johann Rupert’s investment company, Remgro, has completed its acquisition of full ownership of Mediclinic Holdings’ Southern African business after finalising a deal worth R15.56 billion (US$947 million).

The transaction marks the end of a long-standing joint ownership arrangement with Luxembourg-based Investment Holding Limited (IHL), which previously shared control of the private hospital group.

Remgro confirmed on July 1, 2026, that all regulatory and commercial conditions had been met, allowing the transaction to close.

The deal, first announced in December 2025, also received approval from South Africa’s Competition Tribunal in June after clearing regulatory reviews in both South Africa and Europe.

Ownership split completed

Before the restructuring, Remgro and IHL each owned a 50% stake in Mediclinic Holdings.

Under the new arrangement, Remgro now owns 100% of Mediclinic’s Southern African operations through Mediclinic International, while IHL has taken full ownership of the Swiss-based Hirslanden Group.

The separation simplifies the group’s ownership structure and allows each shareholder to focus on its core market.

Remgro said the new structure will enable faster decision-making, stronger regional partnerships, and strategies tailored to local healthcare needs.

The company added that both shareholders remain committed to long-term investment in private healthcare despite now operating independently.

The final purchase price was slightly lower than the R15.61 billion (US$950 million) announced last year due to agreed adjustments for leakage and accruals between signing and completion.

Remgro paid R15.56 billion (US$947 million), whereas IHL paid R17.74 billion (US$1.08 billion) for the Hirslanden business.

As part of the implementation, Remgro also received an additional US$130 million cash payment to equalise the value of the exchanged assets.

Expanding healthcare footprint

The acquisition gives Remgro full control of one of Southern Africa’s largest private healthcare networks, which includes about 50 hospitals, day clinics and specialised healthcare facilities across South Africa, Namibia and Mauritius.

 The hospitals primarily serve privately insured patients and remain a major provider of specialist medical services in the region.

The transaction also follows a strong year for Mediclinic.

Recent results showed the healthcare group’s adjusted revenue grew by 11% to US$5.36 billion, with a 45% increase in adjusted earnings for the fiscal year ending March 2026, driven by higher patient volumes and better operational results.

For Remgro, the acquisition strengthens a portfolio that spans healthcare, banking, insurance, consumer goods and media.

Rupert, whose family controls Remgro through Compagnie Financière Rupert, has consistently identified private healthcare as a strategic long-term investment, particularly as demand for quality medical services continues to grow across Southern Africa.
